Osprey Appoints Mr. John Wenger to the Board of Directors and Grant of Options

Vancouver, British Columbia--(Newsfile Corp. - May 1, 2018) - OSPREY GOLD DEVELOPMENT LTD. (TSXV: OS) (OTCQB: OSSPF) (the "Company" or "Osprey") announces that it has appointed John Eric Wenger as a director of the Company.

Mr. Wenger is currently Vice-President, Corporate Strategy and Chief Financial Officer of Contact Gold Corp. and previously served as Chief Financial Officer and Corporate Secretary of Pilot Gold for six years, where he was part of a management team that raised over $100 million, and successfully completed multiple property transaction deals and acquisitions. Mr. Wenger worked for Ernst & Young LLP from 2001 to 2011 where he acquired considerable experience in financial reporting for both Canadian and U.S. publicly listed companies, primarily in the mining industry. Mr. Wenger has been a Chartered Professional Accountant with the Chartered Professional Accountants of British Columbia since 2006.

The Company also reports it has granted an aggregate of 1,640,000 incentive stock options (the "Options") to directors, officers, consultants and employees of the Company. Each option is exercisable to acquire one common share at $0.09. The Options are exercisable for a period of five (5) years from the date of grant and are subject to the approval of the TSX Venture Exchange. A total of 1,500,000 options issued to directors and officers will be subject to a hold period of four months and one day from the day of issuance.

The grant of options to directors and officers are "related party transactions" under the policies of the TSX Venture Exchange and Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions ("MI 61-101"). The Company is relying on exemptions from the minority shareholder approval and formal valuation requirements applicable to the related party transactions under Sections 5.7(1)(b) and 5.5(b), respectively, of MI 61-101. There has been no prior formal valuation of the options issued as there has not been any necessity to do so. The Grant has been reviewed and unanimously approved by the Company's board of directors, including the independent directors.
