Great Panther Announces US$15 Million Bought Deal Financing

VANCOUVER, Aug. 1, 2019 /CNW/ - GREAT PANTHER MINING LIMITED (NYSE American: GPL; TSX: GPR) ("Great Panther", the "Company") announces that the Company has entered into an agreement dated August 1, 2019 with Cantor Fitzgerald Canada Corporation ("CFCC"), as lead underwriter and sole book-running manager, on behalf of itself and a syndicate of underwriters including H.C. Wainwright & Co., LLC as lead manager, and Scotiabank and Eight Capital, acting as co-managers (collectively with CFCC, the "Underwriters"), to purchase, on a bought deal basis, 20,000,000 common shares of the Company (the "Offered Shares") at the price of US$0.75 per Offered Share (the "Issue Price") for aggregate gross proceeds of approximately US$15.0 million (the "Offering").

In addition, the Company has agreed to grant to the Underwriters an over-allotment option (the "Over-Allotment Option") exercisable, in whole or in part, at the sole discretion of the Underwriters to purchase up to an additional 3,000,000 Offered Shares at the Issue Price for a period of up to 30 days after the closing of the Offering for potential additional gross proceeds to the Company of up to approximately US$2.25 million

Participation in the Offering by insiders and Company employees is anticipated to total approximately $525,000.

The Company intends to use the net proceeds of the Offering for (i) near mine and regional exploration programs at the Tucano Gold Mine, (ii) capital expenditures in connection with the Tucano Gold Mine including optimization initiatives, and (iii) improvement of the Company's working capital balances and general corporate purposes.  The Company will also repay existing Company debt in an amount of 10% of the net proceeds of the Offering as a further reduction to the principal owing under the Company's amended credit agreement with an unsecured lender.  The Company will pay to the Underwriters a cash commission equal to 5% of the gross proceeds of the Offering, including any proceeds received from the exercise of the Over-Allotment Option.

The Offering is expected to close on or about August 8, 2019 and is subject to certain conditions including, but not limited to, the receipt of all necessary approvals, including the approval of the Toronto Stock Exchange and the NYSE American.
